No copyright material can be posted on Sidework. Only posting sections of articles or scripts, as examples, will be permitted. A "section" being no more than 10% of the contents. This is meant to protect the author's rights. We also do not tolerate projects that are clearly requesting unauthorized reproduction of copyrighted or patented material.
Sidework reserves the right to change the member Terms and Conditions at any time. It is the member's responsibility to check these Terms and Conditions from time to time for such changes. In the event Sidework offers any additional or replacement services then this agreement shall apply to such services in the absence of any new agreement specific to such services which is entered into between the parties.
Members agree that all information contained on a Website / Mobile app operated by Sidework, and all information compiled by Sidework through operation of the affiliate program, is the proprietary information of Sidework. Personal information provided by members to Sidework will be kept confidential and will not be distributed to any third party.
You must keep a valid and active Email address and mobile phone number on file with Sidework
You are prohibited from making direct contact with another member, unless it's for a project you (a Professional) have been picked for, or you (a buyer) have picked a Professional for. This includes giving out your e-mail address, instant messenger, phone number, or any other method of contact.
1.1 Overview. Sidework is an online referral service company which connects consumers ("Consumers") online to specific Service Providers. On the Website / Mobile app, Consumers solicit Bids for trades and services from Service Providers for a specific project (the " Project"). The Service Project shall contain detailed information on a specific project ("Project"). Once Sidework receives a Project, Sidework selects qualified Service Providers, from its database, to receive notice of the Project. The Sidework Verified Professional will then be notified of selection. Upon the Consumer's selection Bid, the Consumer and Service Provider enter into a separate agreement to perform the work for the Project.
1.2 No Implied or Further Agreement. Sidework makes no assurance that Service Provider will receive a minimum or particular number of leads or Bids or receive a minimum or particular dollar amount of business under this Agreement. Nothing in this Agreement obligates Sidework to use to provide the Consumer the name of the Service Provider for any particular Project. Sidework does not guarantee a match between a Service Project and a Service Provider. In view of the foregoing, the Parties represent and warrant to one another that any investments or expenditures a Party has made, or may make, in anticipation of, or following execution of this Agreement are at such Party's sole and knowing risk.
1.3 Ratings. Sidework provides a rating for each Service Provider. These ratings are public. If a Service Provider disagrees with a rating, it may appeal to Sidework either through email or written notice. However, ultimately, Sidework has sole discretion on ratings. Subject to change when we release phase two of the platform.
1.4 Background Checks. Sidework does its best to do online verification of the service providers, but throurough and complete background verification is the responsibility of customers.
1.5 Prior to becoming an active Service Provider on the Website / Mobile app, Service Provider must agree to terms and conditions and apply with Sidework on the Website or mobile application. All Service Providers must be at least 18 years of age. Service Provider warrants and represents that the information provided in is accurate, up to date and in compliance with all applicable laws. Service Provider represents and warrants that it is duly licensed, as applicable, and has the qualifications, experience and ability to perform the services listed in the Skills Profile. Sidework reserve the right to review any content posted on social websites in its absolute discretion.
1.6 Submitting a Bid or Estimate. The Sidework selected Service Provider may submit a Bid to the customer in person, within the specified amount of time, to perform work for the client on a Project. The Bid submitted may be"onsite estimate", "flat rate" or "hourly rate", the last two being of labor cost only.
1.7 Performing the Work. Service Provider will use its best efforts to perform services that are satisfactory to Consumers. Service Provider will, at a minimum, perform all Projects won in a timely, workmanlike and professional manner and in accordance with any warranties and all applicable laws, including business and professional licensing requirements, building and zoning codes and facilities and conditions standards. Service Provider is responsible for managing appointments and the relationship with Consumers after the project is live. Sidework makes no representations or warranties as to the conduct of any Consumer or the Consumer's ability to pay a Service Provider for any work. Any dispute with a Consumer must be addressed directly with the consumer.
1.8 Service Provider Information. As a Sidework Professional, you must verify certain information. Further, as part of registration, you may be required to provide additional information, including without limitation, email address, business name, business telephone number(s), mobile telephone numbers, business address, credit card information, and information concerning the Service Provider principal(s)/owner(s). By signing up as a Service Provider, you agree that Sidework, and any of its affiliated companies, including but not limited to SideWork Tech LLC . may provide this information to a Consumer who has requested service and for marketing purposes. Any further use of your provided information is governed by Sidework's privacy policy discussed in below.
Passwords. Service Provider is responsible for maintaining the confidentiality of its account password. Service Provider is also responsible for all activities that occur in connection with its account. Service Provider agrees to notify Sidework immediately of any unauthorized use of its account.
Insurance/Bonding/Licensing. Service Providers may not need to be Insured, Bonded, and Licensed. Service Provider represents that the information it provides and/or posts on the Website / Mobile app is complete, accurate and current. Service Provider agrees that it is solely responsible for the information posted by Service Provider on the Website / Mobile app. Sidework is in no way required to validate or update Service Provider's insurance, bonding or licensing information.
Withdrawal. Service Provider must contact admin@sideworkapp.com to request to close its account. Past Due Balances. Past due balances are subject to a finance charge of 1.5% per month or the maximum amount permitted by applicable law, whichever is lower. If the Service Provider's account is past due, the Service Provider agrees to pay any and all related collection costs, including but not limited to court costs, attorney's fees, collection agency fees and administrative costs.
Term/Termination. Sidework reserves the right to terminate any member or professional at any time without any notice as Sidework discretion. It is a privilege to be a member of Sidework.
Service Provider Termination. Service Provider may terminate its account at any time, for any reason. To terminate an account, Service Provider must email notice of termination to admin@sideworkapp.com . A Service Provider's account will be disabled within 14 days of receipt of termination notice.
Service Provider Indemnification. Service Provider will indemnify defend and hold harmless Sidework and its owners, officers, shareholders, affiliates, subsidiaries, associates, directors, employees, subcontractors and agents from and against, any losses, liabilities, claims, causes of action, lawsuits, judgments, civil penalties, damages and expenses suffered, incurred, or sustained by Sidework or its owners, officers, shareholders, affiliates, subsidiaries, associates, directors, employees, subcontractors and agents, to the extent resulting from, arising out of, or relating to the following acts or failure to act of Service Provider or Service Provider Personnel:
(a) Any Services and/or work performed and/or products supplied by Service Provider and/or Service Provider Personnel;
(b) The inaccuracy, untruthfulness or breach of any representation, covenant, warranty, or any other agreement set forth in this Agreement or on the Website;
(c) Actual or alleged personal injury (including death);
(d) Actual or alleged property loss or damage;
(e) The marketing or sale of any products, materials or services under this Agreement to any Consumer;
(f) Compensation or benefits of any kind, including base wages, bonuses, health and welfare benefits (by agreement, plan, statute or otherwise), pension benefits, or severance or termination pay, by or on behalf of Service Provider or any owner, officer, shareholder, partner, member, parent or Service Provider Personnel, claiming an employment or other relationship with Service Provider and/or Sidework;
(g) Any other claims against Sidework based on indirect association with Service Provider;
(h) Any payment made by Sidework as part of Sidework 's Guarantee that arises from or relates to Service Provider's services, work and/or product.
Member Indemnification. Sidework Members will indemnify defend and hold harmless Sidework and its owners, officers, shareholders, affiliates, subsidiaries, associates, directors, employees, subcontractors and agents from and against, any losses, liabilities, claims, causes of action, lawsuits, judgments, civil penalties, damages and expenses suffered, incurred, or sustained by Sidework or its owners, officers, shareholders, affiliates, subsidiaries, associates, directors, employees, subcontractors and agents, to the extent resulting from, arising out of, or relating to the following acts or failure to act of Service Provider or Service Provider Personnel:
(a) Any Services and/or work performed and/or products supplied by Service Provider and/or Service Provider Personnel;
(b) The inaccuracy, untruthfulness or breach of any representation, covenant, warranty, or any other agreement set forth in this Agreement or on the Website / Mobile app;
(c) Actual or alleged personal injury (including death);
(d) Actual or alleged property loss or damage;
(e) The marketing or sale of any products, materials or services under this Agreement to any Consumer;
(f) Compensation or benefits of any kind, including base wages, bonuses, health and welfare benefits (by agreement, plan, statute or otherwise), pension benefits, or severance or termination pay, by or on behalf of Service Provider or any owner, officer, shareholder, partner, member, parent or Service Provider Personnel, claiming an employment or other relationship with Service Provider and/or Sidework;
(g) Any other claims against Sidework based on indirect association with Service Provider;
(h) Any payment made by Sidework as part of Sidework 's Guarantee that arises from or relates to Service Provider's services, work and/or product.
Sidework 's Right to Assume Defense. Notwithstanding anything else provided herein, and without limiting Service Provider's obligation to fully indemnify Sidework under this Agreement, Sidework reserves the absolute right to assume the defense of any claim. In the event that such claim is within the scope of Service Provider's indemnification obligation, Service Provider agrees to reimburse Sidework any and all costs and expenses (including reasonable attorneys' fees) incurred in the defense of such claim.
No Settlement without Consent. Service Provider will not enter into any settlement or compromise of the claim that would result in the admission of any liability, create any financial liability, or that would subject the Sidework to injunctive relief or otherwise bind, restrict or commit Sidework without first obtaining Sidework 's prior written consent.
Participating in the Defense. Sidework has the right, but not the obligation, to participate, as it deems necessary, in the handling, adjustment, or defense of any claim. If Sidework reasonably determines that defenses are available to it that are not available to Service Provider and if raising such defenses would create a conflict of interest for the counsel defending the claim, Sidework will be entitled to retain separate counsel, at Service Provider's expense, to raise such defenses. Assumption of Defense. Should Service Provider fail to assume its obligations, including its obligation to diligently pursue and pay for the defense of the Sidework under this Section, Service Provider agrees that Sidework will have the right, but not the obligation, to proceed on its own behalf to so defend itself. Sidework may require from Service Provider reimbursement of any and all costs and expenses (including reasonable attorneys' fees) and any amounts paid by Sidework on behalf of Service Provider.
